1. Definitions
In these Terms and Conditions, the following terms carry the meanings set out below:
- "Agreement" means these Terms and Conditions together with any Scope of Work document agreed in writing.
- "Company", "We", "Us", "Our" refers to Chakphan Co., Ltd., registered in Thailand, with offices at 27/6 Soi Sathorn 11, Sathorn, Bangkok 10120.
- "Service" means the consulting engagements described on our website and in any agreed Scope of Work document.
- "Client", "You" refers to the individual or organization engaging our Services.
- "Deliverable" means any written report, document, diagram, or other output produced as part of a consulting engagement.

2. Acceptance of Terms
By accessing our Website or engaging our Services, you confirm that you have read, understood, and agree to be bound by these Terms and Conditions. If you do not agree, you should not use our Website or engage our Services.
Our Services are intended for businesses and professionals. You represent that you have the authority to enter into this Agreement on behalf of your organization, and that you are at least 18 years of age.
3. Service Description
Chakphan provides business consulting services including but not limited to: competitive landscape analysis, cross-departmental workflow redesign, and annual strategic health reviews. The specific scope, deliverables, timeline, and fees for each engagement are documented in a written Scope of Work agreed between Chakphan and the Client before work commences.
Services are primarily delivered to clients based in Thailand. Engagements requiring travel outside Bangkok may incur additional costs, which will be agreed in writing in advance.
4. Engagement Process and Accounts
Each consulting engagement begins with the execution of a written Scope of Work document. No work will commence until this document has been agreed and signed by both parties. The Scope of Work sets out the deliverables, timeline, payment schedule, and any specific terms applicable to the engagement.
5. Client Responsibilities
To enable Chakphan to deliver the agreed Services, you agree to:
- Provide timely access to information, personnel, and documentation reasonably required for the engagement
- Designate a primary contact person responsible for coordinating with Chakphan during the engagement
- Review and provide feedback on draft deliverables within the timeframes agreed in the Scope of Work
- Ensure that any information you provide is accurate and does not infringe the rights of third parties
- Maintain confidentiality regarding methodologies and unpublished findings arising from the engagement
6. Prohibited Uses of Our Website
You may not use our Website to:
- Transmit any content that is unlawful, defamatory, or harmful
- Attempt to gain unauthorized access to any part of our systems
- Scrape, copy, or redistribute our content without written permission
- Impersonate Chakphan or any of its personnel
7. Intellectual Property
All content on our Website, including text, design, and visual elements, is owned by or licensed to Chakphan and is protected under Thai intellectual property law. You may not reproduce, distribute, or modify Website content without prior written permission.
With respect to Deliverables produced under a consulting engagement: upon full payment of all agreed fees, you receive a non-exclusive, non-transferable license to use the Deliverables internally for the purposes stated in the Scope of Work. Chakphan retains underlying intellectual property rights in any methodologies, frameworks, or analytical tools used in producing Deliverables.
8. Payment Terms
Fees for consulting engagements are stated in Thai Baht (฿) and set out in the applicable Scope of Work document. Unless otherwise agreed in writing:
- A deposit of 50% of the total engagement fee is payable before work commences
- The remaining balance is payable upon delivery of the final Deliverable
- Payment is due within 14 calendar days of invoice date
- Late payments may incur interest at the rate permitted under Thai law
All fees are exclusive of applicable taxes unless otherwise stated.
9. Cancellation and Scope Changes
If you wish to cancel an engagement after a Scope of Work has been signed, you will be responsible for fees corresponding to work already completed. Requests to materially change the scope of an engagement must be agreed in writing and may affect timeline and fees.
10. Disclaimers
Our Services are provided on the basis of professional judgment and available information at the time of engagement. Chakphan does not warrant that any specific business outcome will result from implementing our recommendations. Our findings and recommendations represent informed professional opinion, not a commitment to any particular result.

11. Limitation of Liability
To the maximum extent permitted by Thai law, Chakphan's total liability to you in connection with any engagement shall not exceed the total fees paid by you for that engagement. We shall not be liable for indirect, consequential, or incidental losses, including loss of profit or business opportunity.
Nothing in these Terms limits liability for fraud, willful misconduct, or for any liability that cannot lawfully be excluded.
12. Confidentiality
Both parties agree to maintain the confidentiality of information designated as confidential, or which a reasonable person would understand to be confidential, during and after the engagement. Specific confidentiality terms will be included in the Scope of Work document for each engagement.
13. Termination
Either party may terminate an engagement if the other party materially breaches its obligations under the Agreement and fails to remedy the breach within 14 days of written notice. Upon termination, you will pay for work completed to the date of termination, and Chakphan will deliver any completed portions of the agreed Deliverables.
14. Governing Law and Dispute Resolution
These Terms and Conditions are governed by the laws of the Kingdom of Thailand. Any dispute arising from or related to these Terms will first be subject to good-faith negotiation between the parties. If not resolved within 30 days, disputes will be referred to mediation or arbitration in Bangkok, Thailand, in accordance with applicable Thai law and procedure.
15. General Provisions
- Entire Agreement: These Terms, together with any applicable Scope of Work, constitute the entire agreement between the parties regarding the subject matter and supersede prior discussions.
- Severability: If any provision is found unenforceable, the remaining provisions continue in full effect.
- Waiver: Failure to enforce any provision does not constitute a waiver of the right to enforce it in the future.
- Assignment: You may not assign your rights under this Agreement without our written consent.
- Notices: Formal notices should be sent by email or registered mail to the contact addresses in these Terms.
16. Changes to These Terms
We may update these Terms from time to time. Changes will be indicated by a revised "Last Updated" date. Continued use of our Website or Services after changes are posted constitutes acceptance of the updated Terms.
